Software Subscription Agreement
5.1 By using the application, the customer may terminate the subscription, reduce the services or the number of users, subscribe and delete additional modules, etc., with effect from the last day of the current year and after the first 12 months. 3.3The application itself, the website and the Vivolead web platform offer a list of subscription types as well as a list of additional features and technical services applicable to the different operating systems. Certain features and services may be subject to separate terms and conditions that must be accepted before being used in addition to these terms and conditions. 1.17 « Third Party Software » means software and services created by third parties, including Google App Engine and Amazon Web Services. (c) corrective measures. If customer`s use of the Services is restricted or likely as a result of a claim, or if it is seriously compromised by a claim, AI will acquire, at its discretion, either: 1) customer`s continued right to use the Services; (2) replace or modify services in an equivalent functional manner so that they no longer injure them; or 3) terminate the agreement and refund the customer any unused subscription fees that the customer paid for these services. This section defines the exclusive and exclusive liability of AI and the sole and exclusive remedy of the customer in the event of infringement or misappropriation of intellectual property rights of third parties by services, real or alleged. While an open-ended license may be more appealing to an individual, especially someone who only uses the software for basic home use, a subscription agreement can have a number of benefits for businesses. Some of them are: 13.9 Global Agreement. On the date of entry into force, the Agreement shall supersede all prior discussions, negotiations, understandings and agreements between the Parties regarding their subject matter, including all confidentiality agreements and/or obligations expressly superseded in their entirety by this Agreement. Oral statements or documents not expressly included therein shall have no force or effect. With the exception of the conditions relating to the additional services offered for sale via the NiceLabel website, accepted or acknowledged (electronically or by other means) by the customer or a user, no amendment or addition to these general conditions is accepted, unless they are incorporated by modification and signed by duly authorized representatives of both parties.
The application of the customer`s general conditions in an order is expressly excluded and contradicted by NiceLabel. If there is a disagreement between the terms of this Agreement and the terms of orders or other documents that are referred to in this Agreement or an Order, priority is given to that Agreement and then to the express terms of an Order. 2.5. Kontakt.io reserves the right to update, modify, replace or reconfigure the Software at any time, provided that the Customer is informed at least seven (7) days in advance of any changes that seriously affect the use of the Software. Kontakt.io may also change the fee schedule, support terms and service level agreements for services known at least seven (7) days in advance. Such a message can be given and is effective if it is included in an email to the customer manager, a notification in the web panel or in a modification, extension or new version of this agreement. (b) subscriptions. (a) the services are purchased as subscriptions, (b) new subscriptions may be added at the same price as the underlying subscription during a subscription period and added pro rata for the remaining part of that subscription period; (c) all added subscriptions end on the same day as the underlying subscriptions; and (d) most subscriptions have automatic renewal.
